Definitions

The following terms are used throughout these Terms of Service and carry specific meanings:

"Platform" refers to the Tikvaly web application, including all associated services, APIs, and integrations provided by Tikvaly

"Business User" (also referred to as a tenant) means any individual or entity that creates an account on the Platform to manage appointments, services, and staff schedules.

"End Customer" means any individual who books or attempts to book an appointment through a Business User's page on the Platform.

"Service" means a specific offering listed by a Business User on their booking page, including details such as duration, price, and description.

"Appointment" means a booking made by an End Customer for a specific Service at a scheduled date and time.

"Account" means the registered profile created by a Business User or End Customer to access the Platform's features.

"Content" means any text, images, logos, descriptions, or other materials uploaded or entered by users on the Platform.

Acceptance of Terms

By accessing or using the Tikvaly Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use the Platform.

You must be at least 18 years of age to use this Platform. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement.

If you are using the Platform on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these terms.

Description of the Service

Tikvaly is a B2B2C appointment booking platform designed for businesses, particularly in the beauty, wellness, and health industries. The Platform enables Business Users to create a digital presence, manage their service offerings, staff schedules, and appointment calendars.

End Customers can discover Business Users' services through their dedicated booking pages, select available time slots, and book appointments. The Platform facilitates communication between Business Users and End Customers through SMS notifications, including booking confirmations, reminders, and verification codes.

Tikvaly serves as a technology platform connecting Business Users and End Customers. The actual services booked through the Platform are provided by the Business Users, not by Tikvaly.

Account Registration and Security

To use certain features of the Platform, you must create an Account. You agree to provide accurate, current, and complete information during the registration process and to update such information as necessary to keep it accurate and complete.

You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree to notify Tikvaly immediately of any unauthorized use of your Account or any other breach of security.

Each individual may maintain only one Account. Creating multiple accounts to circumvent restrictions or for fraudulent purposes is prohibited and may result in account termination.

Business User Obligations

As a Business User, you agree to the following obligations:

You must keep your calendar and availability accurate and up to date at all times. Displaying outdated or incorrect availability misleads End Customers and undermines the Platform's reliability.

You must provide the services you have described on your booking page accurately and professionally. Service descriptions, pricing, and durations should reflect the actual services offered.

You are responsible for handling End Customer personal data in accordance with applicable privacy and data protection laws, including the Israeli Privacy Protection Law. You must not use customer data obtained through the Platform for purposes unrelated to the booked services without explicit customer consent.

You must comply with all applicable local, national, and international laws and regulations in the conduct of your business. You may not use the Platform for any illegal, fraudulent, or unauthorized activities.

End Customer Terms

As an End Customer, you agree to provide accurate contact information when making bookings, including a valid phone number for SMS verification. Providing false or misleading information may result in booking cancellation.

You agree to honor your appointments or cancel them within a reasonable timeframe in advance, as specified by the Business User's cancellation policy. Repeated no-shows may result in restrictions on your ability to book future appointments.

SMS verification is required for booking appointments. By providing your phone number, you consent to receiving transactional SMS messages related to your bookings, including confirmation messages, reminders, and one-time verification codes.

All bookings are subject to the Business User's availability and approval. Submitting a booking request does not guarantee that the appointment will be confirmed.

Booking Rules and Policies

Bookings made through the Platform constitute an agreement between the Business User and the End Customer. Tikvaly acts solely as a facilitator and technology provider and is not a party to the service agreement between Business Users and End Customers.

Cancellation policies are established and managed by each Business User individually. End Customers should review the applicable cancellation policy before confirming a booking. Tikvaly does not enforce or mediate cancellation disputes between Business Users and End Customers.

Tikvaly reserves the right to remove or restrict bookings that violate these Terms of Service or that appear to be fraudulent, abusive, or otherwise harmful to the Platform or its users.

Payments and Fees

Tikvaly operates on a subscription-based pricing model for Business Users. Details of available plans, features, and pricing are available on the Platform. A free trial period may be offered to new Business Users.

Subscription billing is processed through our payment partner, Paddle. By subscribing to a paid plan, you agree to Paddle's terms of service and authorize recurring charges according to your selected billing cycle.

Business Users are solely responsible for their own payment collection from End Customers for services rendered. Tikvaly does not process, mediate, or guarantee payments between Business Users and End Customers.

Tikvaly reserves the right to modify its pricing with reasonable notice. Any price changes will not affect your current billing cycle and will take effect at the start of the next billing period.

Acceptable Use Policy

You agree not to use the Platform in any manner that:

Sends unsolicited messages, spam, or bulk communications through the Platform's messaging systems. The SMS functionality is provided exclusively for legitimate booking-related communications.

Uploads, posts, or transmits any content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable.

Interferes with or disrupts the Platform's infrastructure, servers, or networks, including any attempt to gain unauthorized access to the Platform's systems.

Employs automated means (bots, scrapers, crawlers) to access, collect data from, or interact with the Platform without Tikvaly's prior written consent.

Impersonates any person or entity, or falsely represents your affiliation with any person or entity.

Abuses the SMS verification or notification system, including but not limited to triggering excessive verification codes or using the system for purposes other than its intended function.

Intellectual Property

The Platform, including its design, source code, features, functionality, and all related intellectual property, is owned by Tikvaly and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Platform without Tikvaly's prior written consent.

Business Users retain all rights to the content they upload or create on the Platform, including business descriptions, service listings, images, and logos. By uploading content to the Platform, Business Users grant Tikvaly a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute such content solely for the purpose of operating and promoting the Platform.

This license terminates when the Business User removes the content from the Platform or closes their account, except where the content has been shared with or relied upon by third parties through the Platform's normal operation.

Data Protection

Tikvaly is committed to protecting user data in accordance with applicable privacy laws. Our data handling practices are described in detail in our Privacy Policy, which forms an integral part of these Terms of Service.

With respect to End Customer data processed through the Platform on behalf of Business Users, Tikvaly acts as a data processor. Business Users remain the data controllers and are responsible for ensuring they have a lawful basis for collecting and processing their customers' personal data.

For Account data provided directly to Tikvaly (such as registration information and billing details), Tikvaly acts as the data controller. Please refer to our Privacy Policy for details on how we collect, use, and protect this information.

Third-Party Services

The Platform integrates with various third-party services to provide its full functionality, including but not limited to payment processing (Paddle), SMS providers for notifications and verification, and calendar integrations.

Tikvaly is not responsible for the availability, reliability, or performance of third-party services. Temporary disruptions in third-party services may affect certain Platform features, such as SMS delivery or payment processing.

Your use of third-party services through the Platform may be subject to additional terms and conditions imposed by those third-party providers. Tikvaly encourages you to review the terms and privacy policies of any third-party services you interact with through the Platform.

Limitation of Liability

The Platform is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. Tikvaly does not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.

To the maximum extent permitted by applicable law, Tikvaly shall not be liable for any missed appointments, scheduling errors caused by user input, disputes between Business Users and End Customers, data loss beyond the scope of reasonable technical measures, or any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

In no event shall Tikvaly's total aggregate liability exceed the total fees paid by you to Tikvaly during the twelve (12) months immediately preceding the event giving rise to the claim. This limitation applies to all causes of action, whether in contract, tort, or otherwise.

Termination

Either party may terminate the user's Account at any time. Business Users may cancel their subscription and close their account through the Platform's settings. Upon termination, Business Users should export any data they wish to retain before their account is deactivated.

Tikvaly reserves the right to suspend or terminate any Account immediately, without prior notice, if the user violates these Terms of Service, engages in fraudulent or illegal activity, or if continued access poses a risk to the Platform or other users.

Upon termination, your right to access and use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property rights, limitation of liability, and dispute resolution.

Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions.

In the event of any dispute arising from or relating to these Terms or your use of the Platform, the parties agree to first attempt to resolve the matter informally by contacting Tikvaly at support@tikvaly.com. The parties shall make good-faith efforts to resolve the dispute within thirty (30) days of initial contact.

If the dispute cannot be resolved informally, both parties agree to submit to the exclusive jurisdiction of the competent courts of Tel Aviv-Jaffa, Israel. You waive any objection to this venue on the basis of inconvenient forum or otherwise.

Modifications to Terms

Tikvaly reserves the right to modify these Terms of Service at any time. When we make material changes, we will notify you via email to the address associated with your account or through a prominent notice on the Platform.

Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the modified terms. If you do not agree to the updated terms, you should discontinue your use of the Platform and close your account.

We encourage you to review these Terms periodically to stay informed about the conditions governing your use of the Platform.

General Provisions

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

These Terms of Service, together with the Privacy Policy, constitute the entire agreement between you and Tikvaly regarding the use of the Platform and supersede all prior agreements, communications, and understandings.

Tikvaly's failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Tikvaly may assign its rights and obligations under these Terms without restriction. You may not assign your rights or obligations without Tikvaly's prior written consent.

Neither party shall be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, or interruptions in telecommunications or internet services.
